Step 1: The Foundations of Identity

The Seven Principles are the guidelines by which cooperatives put their values into practice. These were established by the International Cooperative Alliance (ICA) [1, 4].

1. Voluntary & Open Membership

Open to all persons able to use services and willing to accept member responsibilities, without discrimination.

2. Democratic Member Control

Controlled by members who set policies and make decisions. Elected reps are accountable to the membership (1 Member, 1 Vote).

3. Member Participation

Members contribute equitably to the capital of their co-op. Part of that capital is usually the common property of the cooperative [4].

4. Autonomy & Independence

If co-ops enter into agreements with other organizations or governments, they do so on terms that ensure democratic control.

5. Education & Training

Providing education for members, elected reps, and employees so they can contribute effectively to the development of their co-ops [4].

6. Cooperation among Co-ops

Co-ops serve their members most effectively and strengthen the movement by working through local, national, and global structures.

7. Concern for Community

Cooperatives work for the sustainable development of their communities through policies approved by their members [1].

Step 5: Member Share Calculator

Member equity is the "lifeblood" of a startup cooperative. In 2026, many consumer co-ops are setting share prices between **$160 and $200** to account for inflation while maintaining accessibility [44, 46]. Use this tool to estimate your initial capital pool.

Total Startup Equity Pool
Direct member-led capital
$16,000

Financial Tip: Under IRS **Subchapter T**, this member-led capital is treated as equity, not taxable income for the cooperative [22].

The Formation Roadmap

Phase 1 (Assemble) to Phase 4 (Launch) typically spans 12-18 months [4].

Legal Architectures

Choosing between a Cooperative Corporation, LLC with Co-op bylaws, or a Benefit Corporation.

Governance Systems

Establishing Board terms, voting protocols, and member committees [1].

Taxation (Subchapter T)

How patronage dividends avoid double-taxation on the corporate level [4].
